Vancouver, British Columbia – February 21, 2024 – Lion Rock Resources Inc. (TSX-V: ROAR), (FSE: KGB1) (the “Company” or “Lion Rock”) announces a non-brokered private placement of up to 10,000,000 units of the Company (the “Units”) at a price of $0.10 per Unit for gross proceeds of up to
$1,000,000 (the “Offering”). Each Unit will be comprised of one common share in the capital of the Company and one non-transferable share purchase warrant (a “Warrant”), with each Warrant entitling the holder thereof to acquire one additional common share at a price of $0.20 per share for two years from the date of issue.
The Company intends to use proceeds from the Offering as follows:

Finders’ fees may be payable in whole or in part on the Offering, pursuant to the policies of the TSX Venture Exchange. All securities issued under the Offering will be subject to regulatory hold periods expiring four months and one day from the date of issue.
